RESTORATIVE HEALTH CARE ACQUIRES HOMESTYLE SPECIALTY NURSING CARE, INC.

Corpus Christi, Texas - Dec 10, 2009. Restorative Health Care of San Antonio (RHC) acquired all shares of Homestyle Specialty Nursing Care, Inc of Corpus Christi in a cash transaction. Homestyle Specialty Nursing Care, Inc. is a Medicare certified home health agency licensed to operate in 21 counties of the Texas gulf coast. Jason Sanchez, Restorative's Chief Operating Officer stated that, "Homestyle is an excellent fit for Restorative because both companies are established agencies, each with over 10 years of participation in the Medicare and Medicaid programs. Additionally, the acquisition adds Eastern counties to Restorative's service area including Wharton County which is in the Houston Medicare region 6."

The seller side deal was brokered by Dwight Sweeney of Corporate Investment in Austin, Texas and the buyer’s side was led by Jason Sanchez, COO and team leader for Restorative's internal acquisition team. John Bray and Andrew Dahm Esquires of Cox and Smith provided legal corporate counsel for Restorative and Greg Kosterlitzky Esquire of Padgett and Stratemann provided legal tax advice. Due to the commonalities of the companies the deal was closed in 89 calendar days.

Restorative, with headquarters in San Antonio, has operations throughout Central and South Texas. Combined, Restorative and Homestyle are now licensed to provide skilled health care services @ home to geriatric and pediatric patients in 47 Texas counties. Both companies are licensed and certified by the federal and state governments. Restorative provides services to Medicare, pediatric hourly, pediatric acute care, catastrophic trust fund, geriatric insurance, pediatric therapy, adult therapy and multiple contracted insurance patients. Ron Sanchez, MBA CEO of Restorative Health Care said, "The acquisition of Homestyle is an outstanding fit to our overall corporate strategy. Their mission is aligned with Restorative's and allows us to expand our regional presence in Texas".

Restorative's private equity investor, Contemporary Health Care Capital of Shrewsbury, NJ is particularly pleased with the transaction as RHC was able to complete the acquisition with capital from its treasury. Upon closing the transaction Doug Korey, Executive Director of Contemporary replied to Restorative's management team that "You have definitely brought a lot to the table this year. Thank you to you and your team."

With funding from Contemporary, Restorative is evaluating additional acquisitions in Dallas, El Paso, Houston and Austin. Ron Sanchez, CEO of Restorative stated that, "Restorative is uniquely poised to acquire additional nursing and therapy agencies due to its strong integration of technology, experienced corporate and clinical management, and sound corporate philosophies. Restorative's primary corporate philosophy is that the patients AND the nurses and therapist providing the care come first. Jason Sanchez added, "Based on our ability to dramatically reduce fixed overhead costs by the use of our advance technological systems, we will be able to share gains with the Homestyle clinical staff. We will bring Homestyle staff up to par with the benefits package available at Restorative Health Care."

The clinician in charge of Corpus Christi operations Tracy Trevino, RN stated, “The corporate team began closing the deal in the morning and by the afternoon we were admitting new patients and fielding calls from nurses and therapist who wanted to join the new Restorative-Homestyle team.” Tracy was assisted in the transition by Restorative’s Senior Administrator Cathy Hosek, BSN, RN and Restorative Pediatrics Administrator Greg Mazick, BSN RN. The day after closing Restorative’s Chief Information Officer Elling Omenson, BS Engineering, MBA and IT Professor Juan Valadez, MS computer sciences, MBA were actively upgrading Restorative –Homestyle’s computer links, servers, field devices, networks and Email systems. Elling Omenson stated, “We are excited to bring Restorative’s comprehensive management resources into action and create systems that reduce cost and increase clinical accuracy to the benefit of the patients and clinicians in the Corpus Christi region.”
